1. Acceptance of Terms & Scope

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Merchant", "User", "Buyer", or "You") and MerchFlow (represented by proprietor Umesh Ramesh Gurav, hereinafter referred to as "MerchFlow", "we", "us", or "our").

By accessing, browsing, registering an account, creating payment links, or completing a checkout on MerchFlow (accessible at digital-merchflow.com and its associated subdomains), you agree to be bound by these Terms, our Privacy Policy, Refund Policy, Shipping Policy, and Risk & Compliance Policy.

2. Platform Nature & Services Provided

MerchFlow provides digital creative services, branding solutions, website & mobile UI/UX design, and commercial multimedia deliverables.

• Creative Design & Branding Packages: Bespoke logo design, vector master files (.AI, .EPS, .SVG, .PDF), comprehensive brand guideline books, and visual identity systems delivered electronically.
• UI/UX & Multimedia Deliverables: Modern website and mobile application UI/UX prototypes designed in Figma, social media creative kits, and commercial video editing packages.
• Payment Gateway Integration: Payments for creative packages and design services are processed directly via authorized, licensed third-party Payment Gateways (including Cashfree, Razorpay, Easebuzz, Instamojo). MerchFlow does not provide custodial, escrow, or fund-holding services.

3. Eligibility & Merchant Onboarding

To register as a merchant on MerchFlow, you must:

• Be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872.
• Provide authentic, accurate KYC identity documents (PAN, Aadhaar, Passport, or Business Registration & GSTIN).
• Maintain a valid Indian bank account or UPI VPA in the name of the verified individual or legal business entity.
• Ensure that all digital products offered comply with applicable intellectual property and consumer protection laws.

4. Prohibited Content & Prohibited Transactions

Merchants strictly agree NOT to sell, advertise, or facilitate transactions involving:

• Adult, sexually explicit, pornographic, or escort services.
• Gambling, sports betting, lotteries, or fantasy betting schemes.
• Multi-level marketing (MLM), pyramid schemes, or unregulated financial advisory.
• Counterfeit items, unauthorized copyright materials, or pirated software/content.
• Firearms, explosives, weapons, tobacco, drugs, or hazardous substances.
• Any product or service that violates local, state, national, or international regulations.

5. Fees, Invoicing & Payment Processing

MerchFlow charges standard package fees and milestone billing for digital creative deliverables, UI/UX designs, and branding services.

• Direct Payment Gateway Settlements: Customer payments made through checkout links are routed through payment gateway infrastructure directly to verified bank accounts in accordance with standard bank clearance cycles (T+1 / T+2).
• No Escrow or Custodial Holding: MerchFlow does not maintain escrow accounts, does not hold customer funds in trust, and does not operate custodial financial holding services.
• Taxes: All invoices and transactions are issued with applicable Goods and Services Tax (GST) as per Indian statutory tax regulations.

6. Chargebacks & Dispute Liability

The Merchant is responsible for all payment disputes or unauthorized transaction claims raised by buyers against their payment links.

Disputes are handled directly through authorized Payment Gateway and acquiring bank mechanisms in accordance with standard banking dispute procedures.

7. Intellectual Property & Takedown Protocol

All trademarks, logos, UI designs, and codebase of MerchFlow are the exclusive intellectual property of MerchFlow Technologies.

If you believe content hosted on a merchant link infringes your copyright or trademark, please submit a formal takedown request with proof of ownership to compliance@digital-merchflow.com. We review and process valid IP takedowns within 36 business hours.

8. Limitation of Liability & Indemnification

To the maximum extent permitted by law, MerchFlow and its directors, employees, and affiliates shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from platform downtime, banking server outages, unauthorized access, or loss of profits.

You agree to indemnify, defend, and hold harmless MerchFlow against any claims, losses, liabilities, or legal expenses arising from your violation of these Terms or your products/services.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India.
